Lockton Companies may receive compensation in a number of ways: (1) as commissions paid by an insurer, calculated as a percentage of premiums, or; (2) as negotiated fees paid by the client in-lieu of commissions. These commissions or fees received are for the placement/renewal of a client’s insurance/risk management program, day-to-day servicing, risk control services and/or other services Lockton has agreed to provide on a client’s behalf. Lockton Companies may also receive payments known as “contingent compensation”, based upon factors that are not specific to a certain client. Several insurance companies have supplementary compensation arrangements that are “contingent” in nature as the payment is based upon a number of variables: premium growth; profitability; client persistency, etc. Furthermore, many factors including the type of client and type of insurance are often excluded from potential payment. Since “contingent” payments are determined when an insurer’s underwriting year has closed, Lockton is not made aware if a contingency payment will be made nor the amount of the payment until the close of that underwriting year. In general, the total amount of contingent income payable to us is not known until the end of the calendar year and is based on the total results of all accounts placed with a particular insurer.
